Terms and Conditions for the Provision of Fixed Line Voice, Data and Mobile Services.

1. Definitions
In these Terms and Conditions:
“Contract” means the agreement between Touch Telecom Ltd and the Customer for the supply of Services, incorporating these Terms and Conditions and the Customer’s signed
Order Form.
“Customer” means the person, firm or company receiving the Services.
“Minimum Term” means the minimum contractual period agreed for the Services, commencing on the Activation Date.
“Activation Date” means the date the final Service under the Contract is activated.
“Charges” means the fees payable by the Customer for the Services as set out in the Contract.
“Services” means the fixed line voice, data, mobile, or related services provided by Touch Telecom Ltd.
2. Contract Dates & Terms
The Contract shall be deemed to commence upon signing by the Customer, however the Contract Term shall not begin until the Activation Date.
3. Disclaimer
Touch Telecom Ltd will use all reasonable endeavours to deliver the Services within the standard lead time associated with the product. Touch Telecom Ltd accepts no liability
for delays caused by third parties or force majeure events outside its control.
4. Services
4.1 Touch Telecom Ltd shall provide Services to the Customer in accordance with this contract. A Minimum Term applies.
4.2 Touch Telecom Ltd may obtain services from third-party carriers to supply the Services. The Customer acknowledges that it is technically impracticable to provide services entirely free of faults.
4.3 If technical restrictions prevent service delivery after the Contract date, Touch Telecom Ltd may terminate the Contract without liability.
5. Charges & Payment
5.1 Charges are payable monthly in advance from the start of the Minimum Term, unless otherwise agreed. Payment must be by direct debit and is due 14 days from the invoice date.
5.2 Installation fees are payable within 14 days of invoice.
5.3 Charges may be varied if a carrier increases fees to Touch Telecom Ltd. Customers will be notified as soon as reasonably possible in line with Ofcom best practice.
5.4 If the Customer fails to make payment within 14 days, Touch Telecom Ltd may demand immediate payment of all sums due under the Contract.
6. Use of the services
The Customer shall not make unauthorised commercial use of the Services. The Customer agrees to keep accurate records of all equipment using the Services and allow
Touch Telecom Ltd to review such records on request.
7. Suspension Of Services
Touch Telecom Ltd may suspend Services (in whole or part) immediately by written or electronic notice if:
- the Customer fails to pay any Charges by the due date;
- the Customer is in material breach of this Contract;
- suspension is required by law, regulation, or a competent authority; or
- it is necessary for operational, technical, or security reasons.
Suspension does not remove the Customer’s obligation to pay Charges. Services
will be reinstated as soon as reasonably practicable once the cause of suspension
is remedied.
8. Termination
8.1 Termination by the Customer
The Customer may terminate this Contract by giving not less than 30 days’ written notice,
such notice not to expire before the end of the Minimum Term.
If terminated before the end of the Minimum Term, all remaining Charges for the balance
of the Minimum Term shall become payable.
A new Contract may be required for Services at a new site.
After expiry of the Minimum Term, this Contract continues on a rolling basis unless and until either party provides not less than 30 days’ written notice
8.2 Termination by Touch Telecom Ltd
Touch Telecom Ltd may terminate this Contract immediately (without liability) by written notice if:
- the Customer fails to pay Charges and does not remedy within 14 days of notice;
- the Customer commits a material breach and, if capable of remedy, fails to remedy within 30 days of notice;
- the Customer becomes insolvent or unable to pay its debts;
- termination is required by law, regulation, or a competent authority;
- or continued provision of Services is no longer commercially or technically viable.
- Limitation of Liability
9.1 Touch Telecom Ltd does not exclude liability for death or personal injury caused by its
negligence, fraud, or any other liability which cannot be excluded by law.
9.2 Touch Telecom Ltd shall not be liable for:
- indirect or consequential loss;
- loss of profits, revenue, business, or goodwill;
- loss of data.
9.3 Touch Telecom Ltd’s total liability under this Contract (whether in contract, tort,
negligence, breach of statutory duty or otherwise) shall be limited to the total Charges
paid by the Customer in the 12 months preceding the event giving rise to the claim,
whether arising from a single claim or a series of connected claims.
- Force Majeure
Neither party shall be liable for failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to strikes, industrial action, acts of
God, fire, flood, terrorism, or government action.
- Data Protection
Touch Telecom Ltd will process Customer data in accordance with the UK GDPR and Data
Protection Act 2018. Full details are available in Touch Telecom Ltd’s Privacy Policy.
- Variation of Terms
Touch Telecom Ltd may vary these Terms by giving the Customer not less than 30 days’ notice. If the variation materially disadvantages the Customer, the Customer may
terminate the Contract without penalty by giving written notice within that 30-day period.
- Governing Law & Jurisdiction
This Contract shall be governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the English courts.
